Provision of the Service (SaaS)

Procxo.ai grants you a non-exclusive, non-transferable, revocable right to access and use the platform solely for your internal business operations during the subscription term. You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• License, sublicense, sell, resell, or lease the service to third parties.
• Use the platform to store or transmit infringing, libelous, or otherwise unlawful material.
• Use automated scripts, bots, or scrapers to access the platform.

Subscription, Billing, and Payments

Access to Procxo.ai is provided on a subscription basis. By subscribing, you agree to pay all applicable fees as outlined in your chosen modular pricing plan or specific Order Form. All payments are non-refundable except as expressly required by law. We reserve the right to suspend platform access if undisputed invoice payments are delayed by more than days.

User Data and Privacy

You retain all rights, title, and interest in the data you upload or submit to the platform ("Customer Data"). You grant Procxo.ai a limited license to host, process, and display your data solely to provide and support the service. We implement industry-standard security measures to protect your data, but you remain responsible for the accuracy, legality, and appropriateness of all Customer Data entered into the system.

Intellectual Property Rights

The Procxo.ai platform, including its underlying technology, interface, logos, graphics, and algorithms, is the exclusive property of Procxo.ai and is protected by intellectual property laws in India and internationally. These Terms do not grant you any ownership rights to the platform, only a right of use.

Service Level and Support (Disclaimer of Warranties)

While we strive for maximum uptime, the platform is provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied. Procxo.ai expressly disclaims any implied warranties of merchantability or fitness for a particular purpose. We do not guarantee that the service will be entirely error-free or uninterrupted.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Procxo.ai be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, arising out of or related to your use of the platform. To the fullest extent permitted by law, Procxo.ai’s liability under these Terms shall be limited as permitted by applicable law.

Term and Termination

These Terms remain in effect for the duration of your active subscription. You may terminate your subscription at the end of your billing cycle. We reserve the right to immediately suspend or terminate your access in the event of a material breach of these Terms, non-payment, or unauthorized use of the platform.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. By using this platform, you agree to submit to the exclusive jurisdiction of the competent courts of India for the resolution of any disputes arising out of or relating to these Terms.

Modifications to the Terms

We may update these Terms from time to time to reflect operational or regulatory changes. We will notify you of material changes via email or an in-app notification. Your continued use of the platform after such updates constitutes your acceptance of the revised Terms.
